Terms of Use

These Terms of Use ("Terms") govern your access to and use of the eddies iPhone application and the website at eddies.business (together, the "Service"), provided by Weelco Inc., 1623 Central Ave Ste 201, Cheyenne, WY 82001, United States ("eddies", "we", "us", "our"). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance

By using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service. eddies is intended for use by self-employed professionals, freelancers, and small businesses.

3. License to use the app

Subject to your compliance with these Terms, eddies grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the eddies iPhone app on Apple-branded devices that you own or control, solely for your personal or internal business invoicing purposes.

You may not: (a) copy, modify, or create derivative works of the app; (b) reverse engineer, decompile, or attempt to derive source code; (c) sublicense, rent, lease, or sell access to the Service; (d) remove or alter any proprietary notices; or (e) use the Service to develop a competing product.

4. Subscriptions, trials & billing

4.1 Plans

eddies offers two subscription plans:

Prices may vary by region as set by Apple's App Store and are displayed in your local currency at the point of purchase.

4.2 Free trial

A free trial may be offered to first-time subscribers. At the end of the trial period, your subscription will automatically convert to a paid subscription and your Apple ID will be charged unless you cancel at least 24 hours before the trial ends. You can cancel at any time during the trial in your Apple ID subscription settings.

4.3 Automatic renewal

Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date. Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period at the rate disclosed at the time of purchase. You can manage and cancel subscriptions in Settings → Apple ID → Subscriptions → eddies on your iPhone.

BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE EDDIES (THROUGH APPLE) TO CHARGE THE PAYMENT METHOD ASSOCIATED WITH YOUR APPLE ID ON A RECURRING BASIS UNTIL YOU CANCEL. THE SUBSCRIPTION WILL RENEW AT THE THEN-CURRENT PRICE DISCLOSED AT THE TIME OF PURCHASE OR AS LATER COMMUNICATED TO YOU IN ACCORDANCE WITH APPLICABLE LAW. YOU CAN CANCEL AT ANY TIME IN YOUR APPLE ID SUBSCRIPTION SETTINGS; CANCELLATION TAKES EFFECT AT THE END OF THE CURRENT BILLING PERIOD AND IS NOT PRORATED.

4.4 Payment processing

All payments are processed by Apple through the App Store under Apple's Media Services Terms and Conditions. We do not handle, store, or have access to your payment information.

4.5 Price changes

We may change subscription prices from time to time. Where required by law or Apple's policies, we will notify you in advance of any price change. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.

4.6 Family Sharing

eddies subscriptions are not enabled for Apple Family Sharing. A subscription is tied to the Apple ID that purchased it and is not available to other members of an Apple Family group. If we change this in the future, we will update these Terms accordingly.

5. Refunds

Subscriptions are non-refundable except where required by law. Because Apple processes all payments, refund requests must be submitted to Apple via reportaproblem.apple.com. We do not control Apple's refund decisions.

EU/UK consumers: you may have a statutory right to withdraw within 14 days of purchase. Because the Service begins immediately on subscription, by purchasing you expressly request immediate performance and acknowledge that this may extinguish the right of withdrawal once the Service has been fully provided. Your statutory rights are not affected.

6. Your content

You retain all rights in any content you create using eddies, including invoices, client information, line items, logos, and signatures ("Your Content"). Your Content is stored locally on your device and we do not have access to it.

You are solely responsible for Your Content, including its accuracy, lawfulness, and any tax or legal obligations arising from invoices you send. eddies makes no representations about the legal sufficiency of invoices generated by the Service for any specific tax or regulatory purpose.

You agree not to use the Service to:

8. Intellectual property

The Service, including all software, design, logos, brand elements, illustrations, and content (excluding Your Content), is owned by eddies and protected by United States and international copyright, trademark, and other intellectual property laws. "eddies", the eddies logo, and related marks are trademarks of eddies. You may not use them without our prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT INVOICES GENERATED BY THE SERVICE SATISFY THE LEGAL OR TAX REQUIREMENTS OF ANY JURISDICTION. YOU ARE RESPONSIBLE FOR ENSURING YOUR INVOICING PRACTICES COMPLY WITH APPLICABLE LAW.

eddies is not an accounting, legal, or tax advisor. Use the Service does not create a professional advisory relationship.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EDDIES, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS ($50.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limits may not apply to you. Nothing in these Terms limits liability that cannot be limited by applicable law (including liability for fraud or gross negligence).

11. Indemnification

You agree to indemnify, defend, and hold harmless eddies and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right or applicable law.

12. Termination

You may stop using the Service at any time by uninstalling the app and canceling your subscription through Apple. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including IP, disclaimers, liability, indemnity, governing law) will survive.

13. Governing law & disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law principles, and (where applicable) the laws of the United States of America. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Wyoming, and you consent to the exclusive jurisdiction and venue of those courts, except where prohibited by your local consumer protection law.

EU/UK consumers: nothing in this Section deprives you of the protection of mandatory consumer law in your country of residence, and you may bring proceedings in the courts of your country.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide notice in the app or via the App Store description. Where required by applicable law, we will provide at least 30 days' advance notice of material changes via the App Store description, in-app notice, or eddies.business before the change takes effect. Continued use of the Service after a change indicates acceptance of the revised Terms.

15. Apple-specific terms

You acknowledge that these Terms are between you and eddies, not Apple. Apple is not responsible for the Service or its content. The license to use the iPhone app is limited to use on Apple-branded products that you own or control, as required by Apple's Media Services Terms. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
